These Terms of Service ("Terms") constitute a legally binding agreement between Syamabala Learning Software ("Company," "we," "us," "our") and the student, parent, guardian, or visitor ("User," "you," "your") who accesses, uses, or enrolls in any of our services, platforms, or programs. By using our website, portals, AI tools, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Service Description
Syamabala Learning Software provides elite academic consulting, mentoring, and diagnostic services including but not limited to:
- One-on-one Socratic mentorship for Olympiad preparation (Math, Physics, Chemistry, Computing, Biology)
- Strategic admissions consulting for Ivy League, MIT, Stanford, Oxbridge, and equivalent institutions
- IIT JEE (Advanced), NEET, and other competitive examination preparation tracks
- AI-powered diagnostic assessments and personalized learning path generation
- Essay review, interview preparation, and application strategy sessions
- Access to the Student Portal, Parent Portal, and digital resource libraries
- Bookstore materials (physical and digital)
The specific scope, duration, and deliverables for each engagement are defined in the individual service agreement or enrollment confirmation provided to the User at the time of enrollment.
Eligibility & Enrollment
- ● Users must be at least 13 years of age. For Users under 18, a parent or legal guardian must complete the enrollment and agree to these Terms on the minor's behalf.
- ● Enrollment is subject to completion of the registration process, payment of applicable fees, and acceptance by Syamabala Learning Software. We reserve the right to decline enrollment at our sole discretion.
- ● Users must provide accurate, complete, and up-to-date information during registration. Providing false information may result in immediate termination of services without refund.
No Guarantee of Outcomes
CRITICAL DISCLAIMER
Syamabala Learning Software provides mentoring, consulting, and educational services. We do NOT guarantee admission to any university, college, or institution. We do NOT guarantee any specific score, rank, medal, or placement in any examination, Olympiad, or competition. Outcomes depend on numerous factors including but not limited to the student's inherent ability, effort, consistency, mental health, external circumstances, and the independent decisions of admissions committees and examination boards.
Any references to past results, success stories, or hall of fame entries on our platforms are historical accounts of individual students and do not constitute a promise, prediction, or guarantee of future outcomes for any enrolled student.
Payment Terms
- ● All fees are as stated in the applicable service agreement, invoice, or enrollment confirmation. Fees are quoted in the currency specified and are inclusive of applicable taxes unless otherwise stated.
- ● Payment must be completed by the due date specified in the invoice. Late payments may incur a surcharge of up to 2% per month on the outstanding amount and may result in suspension of services.
- ● For installment plans, failure to pay any installment by the due date may result in immediate acceleration of the full remaining balance and suspension of all services until payment is received.
- ● All payments are processed through PCI-DSS compliant third-party payment gateways. We do not store, handle, or have access to your full credit card or bank account details.
- ● Fee revisions: Syamabala Learning Software reserves the right to revise fees for future service periods with 30 days' written notice. Fees already paid for a committed period will not be retroactively increased.
Cancellation & Termination
By the User
The User may request cancellation by providing written notice. No refund will be provided for services already delivered, sessions already conducted, or materials already provided. Any applicable refund for undelivered future services (if any, at our sole discretion) will be processed within 30 business days.
By Syamabala Learning Software
We reserve the right to terminate or suspend services immediately if: (a) the User breaches these Terms; (b) the User engages in abusive, threatening, or disruptive behavior toward mentors, staff, or other students; (c) the User fails to make required payments; (d) the User provides fraudulent information; or (e) circumstances beyond our reasonable control make service delivery impractical. No refund will be provided in cases of termination due to User breach.

User Responsibilities
By using our services, you agree to:
- Attend scheduled sessions punctually and provide advance notice (minimum 12 hours) for any cancellations or rescheduling requests.
- Complete assigned work, practice problems, and preparation tasks as directed by mentors.
- Keep portal login credentials secure and not share them with any third party.
- Ensure that all information provided is truthful and not misleading in any material respect.
- Not record, screenshot, photograph, or reproduce any mentoring session, AI chat interaction, or portal content without prior written consent.
Intellectual Property
Our Property
All content on our website, portals, and platforms — including but not limited to text, graphics, logos, icons, images, audio, video, software, AI diagnostic algorithms, proprietary methodologies, training materials, problem sets, and strategy frameworks — is the exclusive intellectual property of Syamabala Learning Software or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.
Your Property
All original essays, personal statements, and application content created by the student remain the intellectual property of the student. We do not claim ownership over student-created work.
Restrictions
You may not: copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works from any of our proprietary content or software. You may not use our trademarks, service marks, or branding without prior written authorization.
Confidentiality
Both parties agree to maintain strict confidentiality:
- ● Syamabala Learning Software will not disclose the User's personal information, academic data, or admissions strategy to any third party except as outlined in our Privacy Policy.
- ● The User will not disclose, share, publish, or redistribute any proprietary mentoring materials, session content, AI diagnostic reports, strategy documents, or internal methodologies provided by Syamabala Learning Software to any third party, including other students, tutoring services, or online platforms.
- ● Breach of confidentiality by the User may result in immediate termination of services and legal action for damages.
AI Tools & Diagnostic Services
- ● Our AI Diagnostic engine and AI Assistant chatbot are advisory tools designed to provide insights and recommendations. They do not replace professional academic counseling, psychological assessment, or medical advice.
- ● AI-generated outputs (diagnostic reports, learning path suggestions, chat responses) are based on algorithms and may not always be perfectly accurate. All AI insights are reviewed by human mentors before being acted upon.
- ● The User acknowledges that AI technology has inherent limitations and agrees not to make critical academic or life decisions based solely on AI-generated outputs without human mentor consultation.
- ● Any data provided to AI tools is processed in accordance with our Privacy Policy.
Platform Use & Acceptable Conduct
When using our website, portals, or AI tools, you agree NOT to:
- Attempt to gain unauthorized access to any portion of the platform, other users' accounts, or our systems.
- Use automated scripts, bots, scrapers, or any automated means to interact with our platforms.
- Upload malicious code, viruses, or any material that could damage or impair our systems.
- Impersonate any person, mentor, or entity or misrepresent your identity.
- Engage in harassment, discrimination, or abusive behavior of any kind toward mentors, staff, or other users.
Violation of these conduct rules may result in immediate account termination, blacklisting, and legal action.
Limitation of Liability
To the maximum extent permitted by applicable law:
- ● Syamabala Learning Software shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of opportunity, loss of admissions chances, emotional distress, or reputational harm.
- ● Our total aggregate liability for any claim arising from or related to these Terms or our services shall NOT exceed the total fees actually paid by the User to Syamabala Learning Software in the 12 months preceding the claim.
- ● We are not liable for any failure or delay in service delivery caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or platform provider failures.
- ● We are not responsible for the accuracy of information provided by third-party sources, including university websites, examination boards, or external links on our platforms.
Indemnification
The User agrees to indemnify, defend, and hold harmless Syamabala Learning Software, its founders, mentors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- The User's breach of these Terms
- The User's violation of any applicable law or regulation
- The User's negligent or wrongful acts or omissions
- Any misrepresentation made by the User during enrollment or service engagement
- Any unauthorized use or distribution of our proprietary materials by the User
Dispute Resolution & Governing Law
- ● Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
- ● Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [City, State], India.
- ● Informal Resolution: Before initiating any legal proceedings, the parties agree to attempt good-faith resolution through direct communication for a period of at least 30 days.
- ● Arbitration: If informal resolution fails, the dispute may be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English, and the arbitral award shall be final and binding.
Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users and/or through a prominent notice on our website at least 15 days before the changes take effect. Continued use of our services after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you must cease using our services immediately and notify us in writing.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity or enforceability of the remaining provisions.
